Terms of Service

Last updated: 20 July 2026

1. Who we are

Caseliq ("we", "us") provides a self-service platform for creating, signing, delivering, and verifying non-disclosure agreements. These terms govern your use of the platform. By creating an account, or by continuing past the electronic- signing consent screen as a signer, you accept them.

2. Not a law firm

Caseliq is not a law firm, does not practice law, and provides no legal advice. No attorney–client relationship is created by using the platform. The NDA templates are standardized self-help documents: you select and complete them yourself. The jurisdiction picker is your choice, not our recommendation. The AI question feature explains what a document says; it does not and cannot advise you. For advice about your situation, consult a lawyer.

3. Templates provided as-is

Template text is provided "as is", without warranty of enforceability, fitness for a particular purpose, or suitability for your circumstances. Agreements you execute are contracts between you and your counterparty; we are not a party to them.

4. Electronic signatures

Signatures collected via Caseliq are simple electronic signatures under the U.S. ESIGN Act, UETA, and UK/EU eIDAS. We do not provide advanced or qualified electronic signatures, qualified timestamps, or identity verification beyond the methods shown at signing (email one-time passcode; optional device biometric via WebAuthn). Signer attestations of identity and authority are the signer's own.

5. The evidence service

For each executed agreement we generate and retain the executed PDF, a certificate of completion, and a tamper-evident evidence record, and we make the document verifiable by fingerprint. Both parties engage us to keep this record — see the Privacy Policy for how retention interacts with deletion requests.

6. Acceptable use

You may not use Caseliq to deceive or impersonate, to present a signer with content different from the recorded agreement, to sign on behalf of someone without authority, or in violation of law. We may suspend accounts that do.

7. Fees

Free-tier limits and paid plans are described on the pricing page. Subscriptions are billed through Stripe and renew until cancelled; you can cancel any time from the billing portal, effective at the period end.

8. Intellectual property

We retain all rights in the platform and template text. You receive a licence to use templates within the service and to use, retain, and share the executed documents the service produces for you.

9. Liability

To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss. Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Termination and your data

You may close your account at any time. Executed agreements remain subject to the retention schedule in the Privacy Policy because the other party has an equal claim to the record.

11. Governing law; changes

These platform terms are governed by the laws of the State of Delaware (this is independent of the governing law you choose inside any NDA). We may update these terms; material changes will be notified to account holders by email.
